These draft terms describe how Bulqsoft works on custom software, AI solutions, automation, implementation, cloud, support, websites, e-commerce and proprietary software products. They are written as a solid publication draft for a B2B technology company and must be legally reviewed before production use.

1. Definitions

In these terms, Bulqsoft means the party providing services, software, advice, implementation, support or digital products under the Bulqsoft trade name. The client is the business party that submits a request, accepts a proposal, uses a licence or commissions work.

Services include custom software development, software implementation, AI solutions, automation, business optimization, ERP and CRM implementation, Odoo implementation, API integrations, cloud and DevOps work, UX/UI, consultancy, maintenance, support, websites, e-commerce and proprietary software or SaaS products.

2. Applicability

These terms apply to all proposals, agreements, work, deliveries, support arrangements, licences and other legal relationships between Bulqsoft and the client, unless agreed otherwise in writing.

Client terms apply only if Bulqsoft has explicitly accepted them in writing. Any deviation applies only to the specific assignment for which it was agreed.

3. Proposals and formation of agreements

A proposal describes the intended scope, assumptions, planning, price structure and relevant dependencies. An agreement is formed when the client accepts the proposal in writing or when Bulqsoft starts work at the client's request.

Proposals, demos, concepts, estimates and planning are based on the information available at that moment. If later information is incomplete or circumstances differ, this may affect approach, timing and costs.

4. Performance of services

Bulqsoft performs its work with professional care on the basis of the agreed assignment. Technology projects require active cooperation: analysis, design, development, testing, feedback and launch are part of one continuous process.

Bulqsoft may adjust the execution when needed for quality, security, continuity or a better technical solution, provided the core of the assignment remains intact or the adjustment is coordinated with the client.

5. Client responsibilities

The client must provide timely, complete and accurate information, access to relevant systems, substantive feedback, decisions and availability of employees needed to perform the assignment.

If delays occur because input, access, test data, decisions or approvals are missing, Bulqsoft may adjust the planning and costs. The client remains responsible for the accuracy of business rules, data, texts and decisions supplied or approved by the client.

6. Planning, deadlines and delays

Planning and deadlines are effort-based estimates unless a strict deadline has explicitly been agreed in writing. Software projects can change due to new insights, dependencies, external systems, feedback rounds or change requests.

The parties will inform each other in time when planning is under pressure. Bulqsoft is not responsible for delays caused by external suppliers, missing client input, changed scope or circumstances outside Bulqsoft's control.

7. Changes and additional work

Work outside the agreed scope is additional work. This may include extra functionality, new integrations, additional designs, data work, migrations, support, urgent work, extra meetings or changes after approval.

Bulqsoft communicates additional work as early as reasonably possible. If the client requests an expansion or allows work to continue when it is clear that the scope is changing, Bulqsoft may invoice that work at the agreed or customary rates.

8. Fees and pricing

Rates, fixed prices, subscription fees, licence costs and external costs are stated in the proposal, order confirmation or additional agreement. Amounts are exclusive of VAT and other charges unless stated otherwise.

If external costs change, for example for hosting, software licences, API usage, cloud capacity or third-party providers, Bulqsoft may pass on those changes when this has been agreed or is necessary for performance.

9. Invoicing and payment

Invoices must be paid within the agreed payment term. If no term has been agreed, the payment term stated on the invoice applies. Payment may not be suspended without a written and substantiated dispute of the relevant invoice part.

In the event of late payment, Bulqsoft may pause work, support, deliveries, licences or access until outstanding amounts have been paid. Collection, interest or recovery costs must be completed after legal review: [PAYMENT CONSEQUENCES].

10. Intellectual property

All intellectual property rights in methods, concepts, templates, frameworks, generic code, documentation, designs, know-how and pre-existing Bulqsoft software remain with Bulqsoft or the original rights holder.

After full payment, the client receives the agreed usage rights in deliverables created specifically for the client. The exact transfer or licence must be agreed in writing per assignment, especially for source code, SaaS products, designs and reusable components.

11. Custom software and source code

For custom software, the parties agree in advance what will be built, which deliverables will be provided and which rights the client receives. Without an explicit agreement, the client receives a usage right for the purpose for which the software was developed.

Access to source code, repositories, deployment pipelines, documentation, credentials and operational handover is provided only to the extent included in the assignment. Reusable building blocks and general knowledge are not transferred unless expressly agreed in writing.

12. Licences and usage rights

Software, modules, products or SaaS services supplied by Bulqsoft are subject to the agreed licence terms. The client may use them only for its own organisation, the agreed number of users, the agreed environment and the agreed purpose.

The client may not copy, rent, resell, reverse engineer, sublicense or use software outside the agreed context, except where mandatory law or written permission allows this.

13. Third-party software

Projects may depend on third-party software, services, APIs, hosting, plug-ins, platforms or licences. The terms, availability, pricing and technical limitations of those parties may affect the project.

The client is responsible for its own accounts, licences and compliance with third-party terms, unless agreed otherwise in writing. Bulqsoft may advise, configure and integrate, but does not control the operation of external parties.

14. Open-source software

Bulqsoft may use open-source software when this is technically appropriate and responsible. Open-source components are governed by their own licences and conditions.

Where open-source licences impose specific obligations, such as attribution, source availability or limitations on commercial use, the parties must take those obligations into account. A full legal licence audit must be agreed separately.

15. AI and automated systems

AI solutions, agents, text generation, classification, recommendations and other automated systems are designed to support processes. Outputs may be incomplete, inaccurate or context-dependent and must be reviewed by humans where appropriate.

The client remains responsible for business decisions, publication, legal compliance, substantive accuracy and the use of AI output within its own organisation. Bulqsoft may design guardrails, logging, approval flows and control layers, but does not guarantee flawless or legally binding AI output.

16. Hosting, cloud and external services

Hosting, cloud environments, domains, email services, APIs and external platforms may be configured or managed by Bulqsoft when agreed. Availability, security and processing also depend on the selected providers.

Specific hosting arrangements, processors, regions, backup settings, access levels, costs and service windows must be documented per assignment: [HOSTING AND CLOUD TERMS].

17. Availability and maintenance

Bulqsoft makes reasonable efforts to keep software and environments stable, secure and maintainable where maintenance or management has been agreed. Updates may be required for security, compatibility, performance or further development.

No specific availability percentage, response time or maintenance window applies unless agreed in writing. Any SLA terms must be completed separately: [SLA AVAILABILITY TERMS].

18. Support

Support may include analysis of issues, bug fixes, small changes, monitoring, user questions, advice, documentation or further development. The content, priorities, availability and response times of support are determined by the applicable agreement.

Support for external systems or older software may be limited where access is unavailable, documentation is missing, suppliers change or the technical foundation is no longer secure or maintainable.

19. Acceptance and delivery

Delivery takes place when Bulqsoft makes the agreed work available for review, testing, use or acceptance. The client assesses within the agreed period whether the work meets the scope.

Defects must be reported clearly, reproducibly and in time. Minor deviations that do not materially prevent normal use do not block acceptance but will be addressed within a reasonable planning.

20. Security

Bulqsoft takes reasonable technical and organisational measures appropriate to the nature of the assignment, the available information and the agreed role. This may include access control, secure configuration, documentation and careful handling of credentials.

The client remains responsible for its own user management, strong passwords, internal permissions, device security, substantive authorisations and timely reporting of security incidents. Specific security requirements must be agreed in writing in advance.

21. Data protection and GDPR

Where Bulqsoft processes personal data for the client, the parties determine whether Bulqsoft acts as processor or independent controller. If a processor relationship exists, the parties document this in a data processing agreement.

The client remains responsible for the lawfulness of personal data, instructions, retention periods, legal bases and data subject rights within its own organisation. Missing privacy arrangements must be completed: [DATA PROCESSING AGREEMENT DETAILS].

22. Confidentiality

The parties must treat confidential information confidentially. This includes business information, technical information, source code, client data, project documentation, strategy, pricing, access credentials and any other information that should reasonably be understood as confidential.

Confidential information may be used only to perform the assignment and shared only with persons or parties that need it and are bound by appropriate confidentiality obligations.

23. Backups and data

Backups, exports, recovery procedures and data migrations are provided only when agreed or included in the chosen hosting or management solution. Exact retention periods and recovery possibilities must be determined per environment.

The client remains responsible for its own data, migration checks, retention policy and timely safeguarding of data unless Bulqsoft has explicitly accepted a management role for this.

24. Liability

Liability, any caps, exclusions and exceptions must be legally determined before these terms are used in final form. Bulqsoft intentionally does not include invented liability limits in this draft.

25. Force majeure

Neither party is required to perform an obligation where performance is temporarily or permanently impossible due to circumstances outside its reasonable control. This may include supplier outages, internet or cloud problems, cyber incidents, illness, government measures or other external events.

The parties will limit the consequences where reasonably possible and inform each other as soon as it is clear that force majeure affects planning, delivery or support.

26. Duration and termination

The duration of an assignment, licence, subscription or support arrangement follows from the proposal or agreement. Projects end after delivery and payment unless ongoing management, support or licence use has been agreed.

Notice periods, early termination and any minimum terms must be documented per service type: [TERM AND TERMINATION DETAILS].

27. Consequences of termination

After termination, payment obligations for delivered work, used licences, external costs and agreed notice periods remain due. Access to software, hosting, support or tools may be discontinued when the agreement ends.

Handover, data export, deletion, retention periods and aftercare should be agreed in time, especially for business-critical systems or ongoing platforms.

28. Assignment

The client may not transfer rights and obligations under the agreement to a third party without Bulqsoft's written consent, unless mandatory law provides otherwise.

Bulqsoft may have work performed by carefully selected employees, freelancers or partners where this fits the assignment and confidentiality, security and quality are safeguarded.

29. Changes to terms

Bulqsoft may amend these terms when its services, laws, technology or business operations change. For ongoing agreements, changes apply only where agreed in writing or reasonably announced.

In the event of material changes, Bulqsoft informs clients in time through the website, email or another appropriate channel.

30. Severability

If any provision is invalid, voidable or unenforceable, the remaining provisions remain in force as far as possible. The parties will replace the provision with a valid arrangement that comes as close as possible to the purpose of the original provision.

31. Governing law

The governing law must be confirmed by legal review before publication. Do not complete this automatically without review: [GOVERNING LAW].

32. Disputes

The parties first try to resolve disputes through consultation. If consultation does not lead to a solution, the competent court or alternative dispute procedure must be completed after legal review: [COMPETENT COURT OR DISPUTE PROCEDURE].
